How enrolment works

What this course is about

A short, dense course on commercial contracts read the way a business reads them. Across three two-hour sessions we take apart the anatomy of a contract and how it allocates risk, work through the clauses that get fought over in negotiation, and finish by marking up a real contract with commercial intent. Practical throughout, using the kinds of clauses juniors are handed in their first months.

What we cover

  • 1Session 1 — Contract anatomy & risk allocation: how commercial risk is written into a contract; core clauses
  • 2Session 2 — Negotiating key clauses: liability, IP, termination, warranties, indemnities in practice
  • 3Session 3 — Drafting workshop: marking up a real contract with commercial intent
  • 4Reading a contract for where the risk actually sits
  • 5Spotting the clauses that bind the business, not just the lawyer
  • 6Turning a commercial instruction into contract wording

What you'll walk away with

Read a commercial contract for risk allocation, not only for legal wording
Hold your own on liability, IP, termination, warranties and indemnities
Explain to a client what a clause commits them to
Mark up a first draft with commercial intent behind every change

Edward Noakes

Founder & Instructor, MBLP

Edward founded the Moroccan Business Law Port (MBLP) to share the practical know-how that too often gets picked up by chance in a first job. He is not a veteran lawyer with decades on the clock, but he has been in and around law firms long enough to guide a good number of interns and law students — and to notice the same gaps between university and the workplace, again and again. MBLP is his way of helping the next intake arrive a little sharper, a little more confident, and ready to take on real work from day one.

Small on purpose

Every MBLP cohort is capped at 20 places. Enough for a proper group, small enough that your instructor knows your work.
